It is not legal, tax, accounting or financial advice, and it is not a substitute for a licensed attorney or CPA who knows your facts. The calculator uses simplified rules and placeholder thresholds. Your situation may differ.

No professional relationship

Using this site does not create an attorney-client, accountant-client, advisory or fiduciary relationship between you and anyone connected with it. We are not a law firm, accounting firm, registered agent or LLC formation service, and we are not affiliated with any government agency.

Accuracy and currency

We link each fee, rule and date to a government source and show the date we last checked it. Laws, fees and deadlines change, and we may be wrong or out of date. Items marked "not verified" are not confirmed. Before you file, pay or rely on anything, check the official source and, where it matters, talk to a professional. Reports of errors are welcome at Report an error.

No warranty

The site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, fitness for a particular purpose and non-infringement. We do not promise that the site will be uninterrupted or error-free.

Limitation of liability

To the fullest extent the law allows, the site's owner is not liable for any loss or damage (including missed deadlines, penalties, fees, taxes, lost profits or business decisions) arising from your use of, or reliance on, the site or its outputs. Privacy summary

• Calculator answers: they stay in your browser. We do not collect or store what you enter.
• Deadline reminders: if you sign up, your email and state are stored with Brevo, our email provider, and used only for those reminders. Every message has an unsubscribe link. To have your address removed, write to contact@doineedanllc.com.
• Analytics: we count visits and clicks with Umami, a cookie-free service that honors Do Not Track and does not record your answers or identify you.
• We do not sell your information.

Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in New York.
