About this data
Short answer. Every fee, rule and date on this site comes from a data file with a source link and a "last verified" date, taken from government sites where possible. A figure we could not confirm on an official page is labeled "estimate, not verified" and is never added to a confirmed total. No AI decides your verdict or writes your numbers.
Informational only. Not legal or tax advice. Nothing here is a substitute for an attorney or CPA in your state.
How verification works
- Verified means the value was read on an official government page (state agency, statute, form, IRS, NYC Finance, the California Secretary of State and the California Tax Service Center run by the Franchise Tax Board, the Texas Secretary of State and Texas Comptroller, the Texas legislature's code mirror, a county clerk) on the stated date.
- Estimate, not verified means it came from a non-government source, or from a search excerpt of an official page that could not be read in full. It is shown separately and excluded from totals.
- No figure found means we left it empty rather than guess.
- The verdict (Not yet, Soon, Now) uses fixed rules and placeholder thresholds in a config file, pending review by a CPA and an attorney. Dates, including weekend and holiday shifts, are computed in code.
What is not verified or unresolved
- Newspaper publication cost in Kings County: roughly $400 to $1,600 depending on the source (a law-firm blog $400 to $900, three blogs between $800 and $1,600, and a service flat price of $1,475). The sources disagree; no official price or newspaper rate card was found. Get a written quote from the two newspapers the County Clerk assigns.
- The Certificate of Publication fee for foreign LLCs: assumed $50, page not read.
- NYC UBT: the personal-income-tax credit amount, whether a given app business is subject to it, and the current-year exemption. The $95,000 threshold was read in 2024 instructions only.
- Estimated-tax dates for 2027 and later follow the 2026 pattern with computed shifts; they are not yet published. NY's page gives no weekend/holiday rule, so the federal rule is applied as an assumption.
- Wyoming: registered-agent requirement and annual-report due date seen only in search excerpts; registered-agent price not available.
- Pending bill S6483 (would end newspaper publication): last recorded action 2026-01-07; later status not checked.
California
- ftb.ca.gov and leginfo.legislature.ca.gov returned access errors (HTTP 403) to our fetch tool on every try, so research on those hosts stopped. California figures were read on sos.ca.gov and on taxes.ca.gov (the California Tax Service Center, run by the Franchise Tax Board). Anything seen only as a search excerpt of an ftb.ca.gov page is marked unverified.
- Reduced first-year LLC tax ($400 instead of $800) for first taxable years starting in 2027 through 2029: reported by secondary sources as part of the 2026 budget trailer bill (SB 122, or SB 180 in one bill-text copy); official text not read. The confirmed totals keep $800.
- How the due date of the first-year $800 is counted for a mid-year start (our reading: the month the year begins counts as month 1), and the assumption that the next calendar year is a second taxable year with its own $800.
- The 30% / 40% / 0% / 30% California individual estimated-tax weighting: the official instructions were not readable.
- Whether a sole proprietor owes no LLC tax is an inference from the official page, not a stated sentence. Whether California has no LLC newspaper-publication rule is an absence on the pages read, not proof.
- The LLC-fee estimate date (June 15) was read for 2026 only; the "income" the fee uses is assumed to equal revenue and to be all California-source.
- Not researched: California fictitious business name (DBA) fees, commercial agent prices, the Certificate of Good Standing fee in Wyoming, and all city and county business taxes and licenses.
Texas
- Texas figures were read on the Texas Secretary of State fee schedule (Form 806), the Comptroller's franchise tax pages and FAQ, the Texas legislature's Business Organizations Code mirror (tcss.legis.texas.gov) and one county clerk page.
- The no-tax-due threshold ($2.65 million) is the figure for the 2026 report only. The 2027 threshold is not published, so this site applies the 2026 figure and says so. Monthly revenue x 12 is used as a stand-in for annualized total revenue, and this site does not compute any franchise tax that is owed above the threshold.
- Registered agent: required, but no commercial price was found, so none is included in any total.
- Assumed name certificate (DBA): filed with the county clerk, with county-set fees. Only Fort Bend County ($15 when the clerk notarizes) was read; the range across other counties is not verified and is excluded from totals.
- Whether Texas has no newspaper-publication rule for LLCs is an absence on the pages read, not proof.
- Not covered and not verified: Texas sales tax on software or data processing services (a claim that 80% of the charge is taxed is unconfirmed; check with the Texas Comptroller), expedite fees, the 2027 franchise tax threshold, and all city and county taxes.
- The late foreign-registration fee ($750 per calendar year if more than 90 days after first transacting business) is counted in no total unless you are late.
Florida
- Figures were read on dos.fl.gov (Sunbiz fee schedule, annual report and Articles of Organization pages) and floridarevenue.com. Annual report $138.75, filed Jan 1 to May 1; $400 late fee, not waivable. Florida has no personal income tax (Florida Constitution Art. VII s. 5(a)); the Department of Revenue pages do not say it in plain words.
- Not verified and excluded from totals: registered agent price, newspaper publication (none found, not proof), software sales tax, city and county taxes.
Washington
- Figures were read on sos.wa.gov and dor.wa.gov. Annual report $70; Certificate of Formation $180 plus an online processing fee of unknown amount. Washington has no personal income tax, but B&O (gross-receipts) tax applies to LLCs and sole proprietors and is not computed here.
- Not verified: the B&O filing threshold ($125,000 on the page read; $250,000 in a search summary), the small business credit, registered agent price, software sales tax.
Illinois
- Figures were read on ilsos.gov, ilga.gov (805 ILCS 180) and tax.illinois.gov. Formation $150, annual report $75, foreign admission $150. The annual report is due in the 60 days before the anniversary month; this calendar does not yet show a date for it.
- Not verified: when the first annual report falls due, Illinois estimated-payment dates, registered agent price, software sales tax.
Georgia
- Figures were read on sos.ga.gov and dor.georgia.gov. Formation $110, annual registration $60 (Jan 1 to Apr 1), foreign registration $235. The SOS fee-schedule PDF was not readable.
- Not verified: whether any newspaper notice applies to LLCs (the guide read lists none), the $500 foreign late penalty, Georgia estimated-tax dates, registered agent price.
North Carolina
- Figures were read on sosnc.gov, ncdor.gov and ncleg.gov. Formation $125, annual report $200 paper or $203 online (April 15), foreign certificate of authority $250.
- Not verified: whether a single-member LLC owes franchise tax, newspaper publication, late-filing penalty, registered agent price.
Nevada
- Figures were read on the Nevada Secretary of State's own forms and FAQ (bizhub.nv.gov, nvsos.gov), tax.nv.gov and irs.gov. Articles $75, plus the $150 initial list and $200 State Business License required with them ($425 to form), then $350 a year; foreign registration $75; reinstatement $300 (Secretary of State fee schedule, revised 7/1/2026).
- Not verified: the $75 late fee on the annual list itself for an LLC, whether a newspaper notice applies (none appears in the instructions read), whether sales tax reaches SaaS (the Department's FAQ covers software delivered electronically only), Modified Business Tax details beyond the rate, registered agent price.
Arizona
- Figures were read on azcc.gov (fee schedule Rev. 3.2026 and instructions), azleg.gov (A.R.S. 29-3201), azdor.gov and irs.gov. Articles $50 ($85 online), no annual report, foreign registration $150, reinstatement $100, income tax 2.5%.
- Not verified: the cost of newspaper publication (no official figure exists), whether Transaction Privilege Tax reaches your software (one taxpayer-specific ruling was read), the $10 trade name fee, any penalty for skipping publication (the statute states none), registered agent price.
Ohio
- Figures were read on ohiosos.gov (filing fee schedule), codes.ohio.gov (Revised Code) and irs.gov. Articles of Organization (Form 610) $99, foreign registration $99, statutory agent update $25, reinstatement $25. Commercial Activity Tax: nothing owed at or below $150,000 of taxable gross receipts; $6 million exclusion from 2025. Business income deduction $250,000, then 3%.
- Not verified: tax.ohio.gov pages could not be read (the end of the CAT minimum tax rests on the statute text), whether a single-member LLC owner qualifies for the business income deduction, the vendor's license fee, whether your app counts as a taxable electronic service, city income tax rates, registered agent price.
Michigan
- Figures were read on michigan.gov (LARA corporations pages and forms, Department of Treasury) and legislature.mi.gov (Michigan Compiled Laws). Articles of Organization $50, annual statement $25 through September 30, 2027 and $15 after (MCL 450.5101), due February 15 (an LLC formed after September 30 skips the next February 15, MCL 450.4207), restoration of good standing $50, county assumed name certificate $6 (MCL 445.1). Individual income tax 4.25% for 2026.
- Not verified: any late fee for the annual statement (none found), expedite fee tiers, whether a February 15 on a weekend or holiday moves to the next business day, sales tax on SaaS (the Treasury bulletin covers digital goods; the SaaS line rests on a search summary), Detroit city income tax on an LLC owner, registered agent price, name reservation duration. The totals use $25 for the annual statement every year.
Tennessee
- Figures were read on sos.tn.gov (forms and fees page, FAQ) and tn.gov/revenue (franchise and excise tax pages, business tax pages). Articles of Organization $300, annual report $300 minimum, foreign registration $300, name reservation $20, reinstatement $70. Franchise tax 0.25% of net worth with a $100 minimum, excise tax 6.5% of taxable income, return due April 15; a single-member LLC is not disregarded for franchise and excise tax unless its owner is a corporation.
- Not verified: the April 1 annual report due date and any late fee (the Secretary of State's own pages would not show them), the "$50 per member" Articles fee wording (a single-member LLC pays $300 either way), that a sole proprietor is not subject to the franchise and excise tax (a search excerpt of the Department of Revenue manual), sales tax on software, registered agent rules, penalties on the franchise and excise return, registered agent price. The 6.5% excise tax is not computed in the totals.
Delaware and Stripe 1099-K
- Delaware figures come from corp.delaware.gov and delcode.delaware.gov. The LLC annual tax is $400, due June 1 (an older Division FAQ still says $300; the statute and current pages say $400). The annual report fee is $50, not $400. The calculator does not model mid-year amendments or the large-filer fixed amount.
- The 1099-K threshold ($20,000 and 200 transactions) comes from irs.gov and Stripe's support pages. State thresholds, and how app stores handle forms, are not verified.
