New York LLC publication requirement: Brooklyn (Kings County)
Short answer. A new New York LLC must publish a notice in two newspapers (one weekly, one daily) once a week for six weeks, then file a Certificate of Publication with the Department of State, with a $50 filing fee, within 120 days after its Articles of Organization take effect. If it does not, its authority to do business in New York is suspended until it files. In Brooklyn the Kings County Clerk assigns the newspapers. No official price list was found; secondary sources range from roughly $400 to $1,600, which is an estimate, not verified. The sources disagree, so get a written quote from the two newspapers the County Clerk assigns.

The rule
- Deadline: 120 days after the initial Articles of Organization take effect (NY Department of State; LLC Law section 206).
- Newspapers: two, in the county of the LLC's office, one weekly and one daily, designated by the county clerk. Notice runs once a week for six successive weeks (LLC Law section 206).
- Proof: a Certificate of Publication with the newspapers' affidavits attached, filed with the Department of State. Fee: $50 (NY Department of State).
- If you miss it: the LLC's authority to carry on business in New York is suspended as of day 120. The suspension is annulled if proof is filed later. The statute says the failure does not invalidate the LLC's contracts and does not make members personally liable for its obligations.
Brooklyn (Kings County)
The Kings County Clerk, not the LLC, assigns the two newspapers. According to the Clerk's own page, after the state processes your paperwork the Clerk needs two photocopies of the Albany filing receipt (in person at Window #2, by email, or by mail with a stamped, self-addressed envelope) before it assigns two local newspapers. Source: the Clerk's page, read 2026-11-02. Read the Clerk's page yourself. Questions or electronic submission of the receipt: KCCOLLC@nycourts.gov. How long assignment takes, and what the papers charge, is not published there.

Do foreign LLCs have to publish too?
Yes, according to the official sources. LLC Law section 802(b) requires a foreign LLC to publish a copy of its application for authority, or a notice of its substance, within 120 days after filing the application, in two newspapers (one weekly, one daily) in the county of its New York office, for six successive weeks, and to file the Certificate of Publication. The Department of State's Application for Authority page says the same. Forming in another state therefore does not avoid New York publication for a New York-based owner. Statute text. The foreign Certificate of Publication fee was not read; $50 is assumed and is unverified.
Do you really have to publish?
Yes, the requirement applies to every New York LLC. LLC Law section 206 has no exception for small or single-member companies. How strictly owners follow it in practice is not something the state publishes, and this site has no compliance data.
What the law says happens if you don't: the LLC's authority to carry on business in New York is suspended as of day 120. The statute says this does not invalidate your contracts and does not make members or managers personally liable for the company's debts. Filing the Certificate of Publication later annuls the suspension. Neither the statute nor the Department of State page mentions a late fee or penalty; the only fee listed is the $50 filing fee.
Where it can still matter (our inference, not a statutory rule): a bank, lender, buyer or business customer that checks your company's status with the state may see a suspended LLC and ask questions. If none of that applies to you yet, the cost and timing of publishing is one reason to compare forming now with waiting.
Could this requirement go away?
Bill S6483 (2025-2026) would replace newspaper publication with electronic publication by the Department of State for a $50 fee. As of its last recorded action on 2026-01-07 it was in a Senate committee. It is not law. Its status after that date was not checked.
What this page doesn't tell you
It cannot tell you whether you need an LLC yet, what your exact total is (it depends on county, your formation date and what else you pay), or your own dates. The calculator turns your answers into a verdict, a cost comparison against Wyoming and staying a sole proprietor, and a dated to-do list.
