Illinois LLC annual report: $75 a year, even with no revenue

Last verified 2026-10-31. Official sources linked below; unverified items are labeled.

Short answer. Every Illinois LLC, including a single-member LLC, must file an annual report and pay $75 every year, even with no revenue. It is due in the 60 days before the first day of the LLC's anniversary month. Miss it and the LLC is delinquent and not in good standing, and a $100 penalty (plus $100 for each later year) follows if it is not fixed in time. Illinois has no LLC franchise tax that we found, and a single-member LLC files no Illinois income tax return of its own: the income goes on your IL-1040 at a flat 4.95%. A sole proprietor files no annual report.

What you must file

When it is due, by example

The "anniversary month" is the month the LLC was formed (or, for a foreign LLC, admitted). For an LLC formed on November 16, 2026, the anniversary month is November, so the report is due in the 60 days before November 1, 2027, which runs from about September 2 to October 31, 2027 (our arithmetic, not an official date). That the first report falls due in the first anniversary month after formation, rather than in the formation year, is the usual reading but is not stated in the statute sections read, so the first due month is not verified. The calculator does not yet show a calendar date for this filing, because its date logic has no "before the anniversary month" rule; use your formation month and the 60-day window.

What happens if you miss it

Under 805 ILCS 180/50-15 the Secretary of State declares an LLC delinquent and not in good standing if the annual report and fee are not filed before the first day of the anniversary month. If it is still not corrected before the first day of the second month after the anniversary month, a penalty applies: "$100 plus $100 for each year or fraction thereof beginning with the second year of delinquency until returned to good standing or until reinstatement is effected." The Secretary of State will not file any other documents for the LLC until the delinquency is cleared, and may show it as not in good standing. Reinstatement after administrative dissolution or revocation costs $200 (Illinois Secretary of State LLC forms and fees). verified

Illinois income tax and the LLC

Illinois taxes individual net income at a flat 4.95% (Illinois Department of Revenue tax rates). For a disregarded single-member LLC, the Department of Revenue says the income "will be reported on the Illinois return of its owner" on Form IL-1040 and "The LLC has no Illinois income tax filing requirements" (Illinois Department of Revenue, how Illinois taxes an LLC). The personal property replacement tax applies to corporations (2.5%) and to partnerships, trusts and S corporations (1.5%), so it reaches your LLC only if it elects partnership, S-corp or C-corp treatment. verified This site does not compute any Illinois tax. We found no Illinois franchise tax or flat annual LLC tax on the pages read, which is not proof there is none, so it is not verified.

What is different for a sole proprietor

A sole proprietor has no Illinois annual report. This is our reading of 805 ILCS 180/50-1, which applies to LLCs and foreign LLCs; no official page says it in so many words, so it is not verified. The sole proprietor's duties are the same income tax ones: federal Schedule C, self-employment tax and federal estimated tax (April 15, June 15, September 15 and January 15; Form 1040-ES), plus Form IL-1040 at 4.95%. A county assumed name filing may be needed if you trade under a business name; this was not researched.

Not covered

City and county business taxes and licenses (including Chicago's) are not covered here and are not in any total. Illinois and Chicago sales or lease tax on software or cloud services is not computed in the totals. Illinois estimated-payment dates and split were not read on an official page in this build. Check with the Illinois Department of Revenue before you sell to Illinois customers.

Frequently asked

How much is the Illinois LLC annual report and when is it due?

The annual report costs $75. It must reach the Secretary of State within the 60 days immediately before the first day of the LLC's anniversary month, every year. An LLC formed in November 2026 files between about September 2 and October 31, 2027; that window is arithmetic from the statute, not an official date. A report mailed before the first day of the anniversary month counts.

Do I have to file the annual report if my LLC made no money?

Yes. Every Illinois LLC, including a single-member LLC, and every foreign LLC admitted in Illinois must file the annual report and pay the $75 fee each year, whether or not it had any revenue.

What happens if I miss the Illinois LLC annual report?

The LLC is declared delinquent and not in good standing if the report and fee are not filed before the first day of the anniversary month. If it is not corrected before the first day of the second month after the anniversary month, a penalty of $100 applies, plus $100 for each year or fraction beginning with the second year of delinquency. The Secretary of State files no other documents for a delinquent LLC, and reinstatement after dissolution or revocation costs $200.

Does Illinois have an LLC franchise tax or annual LLC tax?

We found none on the official pages we read, but an absence on a page is not proof, so this is not verified. The Illinois Department of Revenue says a disregarded single-member LLC has no Illinois income tax filing requirement, and the owner reports the income on Form IL-1040 at a flat 4.95%.

Does a single-member LLC file its own Illinois income tax return?

No, not by default. If the LLC is a disregarded entity for federal tax, its income is reported on the owner's Illinois return and the LLC has no Illinois income tax filing requirements. An LLC that elects to be taxed as a partnership, S corporation or corporation files a replacement tax return instead.

Does a sole proprietor file the annual report?

The annual report duty applies to LLCs and foreign LLCs, and a sole proprietorship is neither, so a sole proprietor files none. That is our reading of the statute, not a statement on an official page, so it is not verified.
