Do I need an LLC?

North Carolina LLC cost: year one and every year after

Last verified 2026-10-31. City and county business taxes are not covered.

Short answer. For a solo operator in North Carolina, the state cost confirmed on official sites is $125 to form (Articles of Organization) and $200 every year for the annual report to the Secretary of State, due April 15 starting the year after formation. That $200 is owed even if the LLC earns nothing. North Carolina also has a flat personal income tax of 3.99% (taxable years after 2025) with or without an LLC. A registered agent is required but has no price we could confirm. Forming in Wyoming instead costs more ($350 confirmed in the base case), because a North Carolina resident still registers in North Carolina for $250 and still files the $200 annual report. Staying a sole proprietor has no state formation fees. City and county business taxes and North Carolina sales tax on software are not computed in the totals.

North Carolina LLC vs Wyoming LLC vs sole proprietor

PathYear oneEach year after
A. LLC in North Carolina$125 confirmed ($125 Articles of Organization; the first $200 annual report is due April 15 of the year after formation and falls inside year one when you form between mid-April and December)
+ North Carolina registered agent: no figure found, not included
$200 confirmed (annual report, due April 15 every year)
+ North Carolina registered agent if you do not serve as your own: no figure found, not included
B. LLC in Wyoming + register in North Carolina$350 confirmed ($100 Wyoming + $250 North Carolina Certificate of Authority; the $200 North Carolina annual report is added when its first due date falls within 12 months)
+ Wyoming registered agent and North Carolina registered agent: no figures found, not included
$260 confirmed ($60 Wyoming minimum annual report + $200 North Carolina annual report)
+ both registered agents, no figures found
C. Sole proprietor (baseline)$0: free EIN from the IRS, separate bank account
+ assumed business name filing if you use a business name: not researched, not in the total
$0 in state fees; no LLC annual report (inference, not verified)

Example: an LLC formed in November 2026 pays $125 now and its first $200 annual report on April 15, 2027, so $325 in its first 12 months (the calculator computes this from your formation date). Not in any total above: a registered agent (no commercial price found), assumed name filings, the $3.00 online card fee, expedite fees ($100 or $200), your federal and North Carolina income and self-employment tax, bank fees, any franchise tax (not verified for a single-member LLC), North Carolina sales tax on software (not computed in the totals; sourced rules are in the section above), city and county business taxes and licenses (not covered), and any attorney or CPA time.

Why Wyoming does not help a North Carolina resident

North Carolina charges its $200 annual report to foreign LLCs authorized in the state as well as to domestic ones (the Secretary of State says each LLC must file; the Application for Certificate of Authority costs $250 per the North Carolina Secretary of State fee schedule). Forming in Wyoming therefore adds Wyoming's $100 and $60 on top of North Carolina's registration and annual report. For a solo operator the Wyoming route costs more than forming in North Carolina. The Certificate of Existence from the home state that North Carolina asks for is a separate document; its Wyoming fee is not included.

North Carolina taxes: what an LLC does and does not change

The IRS treats a single-member LLC as "disregarded as separate from its owner": you report profit on Schedule C and pay self-employment tax as a sole proprietor would. North Carolina has a flat personal income tax of 3.99% for taxable years after 2025 (NC Department of Revenue rate page). Federal estimated tax for 2026 is due April 15, June 15, September 15 and January 15, 2027 (Form 1040-ES); North Carolina uses the same dates (NC Department of Revenue). See the annual report page for the April 15 filing.

What is different about forming in North Carolina if you sell software

Three North Carolina specifics that a founder selling an app or subscription should read before choosing between a North Carolina LLC, a Wyoming LLC registered here, or staying a sole proprietor. Each was read on an official page on 2026-10-31.

  1. Franchise tax turns on how the LLC is taxed. The Department of Revenue filing requirements page does not say whether a disregarded single-member LLC owes franchise tax. The statute defines "corporation" to include "a limited liability company or a partnership that elects to be taxed as a corporation" but "does not otherwise include a limited liability company or a partnership." Read plainly, a default single-member LLC is outside that definition and an LLC that elects corporate tax treatment is inside it. For corporations the rate is $1.50 per $1,000 of tax base with a $200 minimum for taxable years beginning on or after January 1, 2025. The Department of Revenue has not confirmed the default-LLC reading on a page we read, so treat it as not verified and keep it out of any total. Sources: G.S. 105-114, G.S. 105-122, NC Department of Revenue filing requirements.
  2. Sales tax on software is not settled on the pages we read. The Department of Revenue Taxable Items page lists "Prewritten computer software" inside its tangible personal property definition. Its page on certain digital property names digital audio and audiovisual works, books, publications, photographs and greeting cards, says the tax applies "regardless of whether the purchaser of the property has the right to use it permanently," and does not mention software, SaaS or remote access. Neither page says whether a subscription app accessed in a browser is taxed, so that is not verified here. The Department of Revenue lists a 4.75% general state rate, with local rates added on top. Sources: Taxable Items, Certain Digital Property, Sales and Use Tax Rates.
  3. The registration trigger is written in the statute, and working from home is not on its list. A foreign LLC "may not transact business in this State until it obtains a certificate of authority." The statute says maintaining bank accounts, "transacting business in interstate commerce," owning property and one isolated transaction completed within six months do not count by themselves, and the list is not exhaustive. It does not say whether a Wyoming LLC whose owner lives and works in North Carolina is transacting business, and the text read states no penalty. That is why this page treats the Wyoming route as registering here. Source: G.S. 57D-7-01.

North Carolina LLC questions

How much does it cost to form an LLC in North Carolina?

The confirmed state filing fee is $125 for the Articles of Organization. North Carolina also charges every LLC a $200 annual report each year, starting the year after the year of creation, so an LLC formed in November 2026 pays $325 to the state within its first 12 months and one formed in February 2026 pays $125. A registered agent is required, but no commercial price was found, so none is included.

What does a North Carolina LLC cost every year?

The confirmed recurring state cost is $200: the annual report to the Secretary of State, due April 15 each year, even if the LLC earned nothing. Paying the report online by card adds a $3.00 electronic fee. A registered agent costs extra if you do not serve as your own, and that price is not included.

Is a Wyoming LLC cheaper for a North Carolina resident?

No. A North Carolina resident forming in Wyoming still registers in North Carolina with an Application for Certificate of Authority for $250, still files the North Carolina annual report ($200) every April 15, and also pays Wyoming's $100 formation fee and $60 minimum annual report, so the total is higher.

Do I need a registered agent in North Carolina?

Yes. Every North Carolina LLC needs a registered agent and a physical registered office in North Carolina. The agent must live in North Carolina or be a business registered there, and an individual can be their own agent if they live in North Carolina. A PO Box is allowed only as the registered mailing address, not as the office. No commercial agent price was found.

Does North Carolina require newspaper publication for an LLC?

We found no publication requirement for North Carolina LLCs in the part of the statute and the Secretary of State pages we read, but an absence on a page is not proof, so this is not verified. Check with the Secretary of State or an attorney.

Do I pay less income tax with an LLC?

Not by default. A single-member LLC is treated by the IRS as disregarded, so you report profit on Schedule C and pay self-employment tax as a sole proprietor would. North Carolina has a flat personal income tax of 3.99% for taxable years after 2025, and forming an LLC does not change it.
